For receipt of information for: ALL PROPERTIES, or BUSINESSES PROVIDED THROUGH : Americas realty Broker,Mohsen Sarhan.
1. The undersigned understands and agrees that the information furnished by : Mohsen Sarhan. is highly sensitive and strictly confidential and shall be maintained by the undersigned with the utmost confidence. The undersigned understands that all such information is being furnished solely in connection with the consideration of an acquisition. Copying all or part of the furnished documents without permission of : Americas realty Broker,Mohsen Sarhan. is prohibited under this agreement. The undersigned agrees to take all necessary steps to ensure that such information obtained by it or any of its employees, officers, agents, attorneys or representatives shall remain confidential and shall not be disclosed or revealed to outside sources or used in manner inconsistent with this Agreement without the prior expressed written permission of : Americas realty Broker,Mohsen Sarhan. The undersigned agrees that any release of confidential information constitutes a breach of duty owed to : Americas realty Broker,Mohsen Sarhan. and to the Seller.

2. If the undersigned is a partnership or corporation, the provision of this Agreement relating to
access to, and disclosure of, confidential information and acknowledgement of information, shall
apply to all partners, officers, directors, employees and agents of undersigned, as applicable, and
undersigned shall be responsible for ensuring the compliance of all such parties with the terms
3. The undersigned agrees that all Proprietary Information delivered by : Americas realty Broker,Mohsen Sarhan. to the undersigned shall be and remain the property of : Americas realty Broker,Mohsen Sarhan. and to be returned
upon written request, within five (5) business days.
4. The undersigned agrees that they shall not visit the site; nor shall they make phone calls to the site making reference to the property being offered for sale; nor shall they make known to other
parties that the property described in the information package is being considered for sale or purchase, unless they have written permission of : Americas realty Broker,Mohsen Sarhan.
5. The undersigned agrees that he will not contact the seller, his employees, officials, agents,
attorneys or representatives, unless authorized to do so by : Americas realty Broker,Mohsen Sarhan. for a period of two (2) years from the conclusion of the relationship between the parties. The undersigned agrees to pay a fine of a minimum of $25,000 twenty five thousands or 10% of the deal Value delivered for breach of this Confidentiality Agreement.
6. : Americas realty Broker,Mohsen Sarhan. makes no representation or warranty as to the accuracy or validity of the information furnished with respect to the property or business. Any and all representations shall be made solely by the Seller only at such time as they are set forth in a signed acquisition agreement and then subject to the provision thereof.
7. If legal action or other proceedings of any kind is brought for the enforcement of this Agreement or because of an alleged breach, default, or any other dispute in connection with any provision of this Agreement, : Americas realty Broker,Mohsen Sarhan. shall be entitled to recover reasonable attorney fees and all other reasonable costs incurred in prosecuting or defending such action or preceding.
8. This Agreement shall be governed by the laws of the State of Georgia, shall be binding on each party, its respective officers, employees, agents, successors and assigns and will be modified only in writing signed by the Party against whom enforcement is sought.
9. All prior representations whether written or oral, are incorporated herein.
10. This opportunity is not to be disclosed to any real estate agent in the state of Georgia with exception to the Agent signing this form. This opportunity is not to be disclosed with any individual in the state of Georgia without the individual first entering into a confidentiality agreement with Joe Safieh, the Broker of : Americas realty Broker,Mohsen Sarhan.
11. Miscellaneous.
Buyer acknowledges that Seller and , : Americas realty Broker,Americas realty Broker,Mohsen Sarhanare intended third party beneficiaries of this Agreement. Therefore, in the event of breach of this Agreement, Seller and Listing Broker shall be entitled to collect its expenses of litigation, including its reasonable attorneys’ fees, from the defaulting party or parties. Buyer agrees that this Agreement shall be construed and enforced in accordance with the laws of the State of Georgia and that venue for any such action shall be in the County in which the principal office of the Business is located. In addition to all remedies provided at law or in equity, Seller shall be entitled to seek a temporary restraining order and a temporary and permanent injunction to prevent a breach of this Agreement, without the requirement of

posting a bond or other security. This Agreement contains the entire understanding of Buyer and Seller with respect to the subject matter hereof and supersedes all prior oral or written agreements and understandings of Buyer and Seller relating to the subject matter hereof. If Buyer is an entity, then the person signing on behalf of Buyer shall also be bound individually. For the purposes of this Agreement, Listing Broker is the Broker that has listed the Business for sale and Selling Broker is the Broker that will introduce Buyer to the Business. The parties acknowledge that the identity of Listing Broker may remain confidential prior to a entering into a purchase agreement for the sale of the Business. Listing and Selling brokers and their agents are members of the Georgia Association of Business Brokers (GABB) and are bound by the GABB Bylaws, the Cooperative Agreement, and rules and regulations promulgated by GABB for its members.
It is expressly agreed that any term or provision of this Agreement that is invalid or unenforceable in any situation in any jurisdiction shall not affect the validity or enforceability of the remaining terms and provisions hereof or the validity or enforceability of the offending term or provision in any other situation or in any other jurisdiction. If any one or more of the provisions contained in this Agreement shall, for any reason, be held to be excessively broad as to time, duration, geographical scope, activity or subject, it shall be construed by limiting and reducing it so as to be enforceable to the fullest extent permitted under the applicable law.
13. Survival.
This Agreement does not obligate Buyer to purchase the business or any of the assets of the business; however, the terms of this Agreement shall survive for the time periods set forth in this Agreement. In the event that Buyer purchases the business, this Agreement shall survive the closing, and in the event of a conflict between this Agreement and the Purchase Agreement, the terms of the Purchase Agreement shall govern.
14. Counterparts.
This Agreement may be executed in several counterparts, and all counterparts so executed shall constitute the agreement of the parties, notwithstanding that each is not a signatory to the same counterpart. A counterpart may be delivered via telecopy, and the telecopy received will be deemed to be an original. Each party that has a copy of this Agreement with an original signature shall retain such copy in safe keeping and shall produce it upon request.
15.Proof of funds must first be provided prior to the disclosure of the entire opportunity.
